FOR VENDORS Conditions of Use. FreeWebDesignQuote.net, ("we" or "us") provides a collection of online resources where individuals, companies and other organizations ("Customers") may connect with vendors who provide products and services (Vendors). If you submit an order form ("Order") to participate as a Vendor in the FreeWebDesignQuote.net program, the following contract terms and conditions ("Terms") will apply to you and to us. Modifications and Guidelines. We may amend the Terms at any time by posting the amended Terms on the FreeWebDesignQuote.net Website] (the "Website"). You can find the most recent version of the Terms at: http://www.FreeWebDesignQuote.net. In addition, when using any of our particular services you agree to abide by any applicable guidelines posted on the Website, which may also change from time to time. If you object to any modification of the Terms or guidelines, your only recourse is to immediately withdraw from the FreeWebDesignQuote.net program and discontinue use of the Website. Order Entry. By submitting your Order to us, you authorize us to publicly post on the Website all of your Order entry information, except your credit card type and credit card number and expiration date (see our Privacy Policy at http://www.FreeWebDesignQuote.net/privacy.html. We reserve the right to reject or cancel any Order for any reason. If you Order is rejected, your payment for that Order will not be processed. Accuracy of Order. You hereby represent that all information provided on your Order is current, correct and complete, and you agree to promptly notify us by email if any of your information changes so that the Website remains current. To be sure your information is accurately and fully entered, you agree that it is your sole responsibility to review your listing on the Website at the initial time of entry and from time to time thereafter. Authorization. By submitting your Order, you hereby authorize us to contact credit reporting services for credit verification, and to make any and all other inquiries and investigations about your business as part of our Vendor pre-screening process. Cancellation. You have the right to cancel your listing on the Website at any time without cause, in which case you will not be entitled to a refund of any fees paid. Conversely, we also have the right to cancel your listing at any time without cause.. Sales Lead Notices. If your Order is accepted and posted on the Website, we will send emails to you for Sales Leads that match the profile of your Order. The emails will include the Customer's name, title, company, address, phone number and email address (subject to availability). We will use reasonable efforts to timely deliver the Sales Lead to the email address you submit to us, but we are not responsible for technical difficulties related to your email account. You are solely responsible for any failures to receive the Sales Leads due to spam filters, junk mail filters or other filters, or due to viruses, worms or other technical problems that may affect emails between us. Your Response Requirements. You hereby acknowledge and understand that a key component of the FreeWebDesignQuote.net program is a prompt response from the Vendors once they receive a Sales Lead. Therefore, you agree to respond to each Customer for whom you receive a Sales Lead by no later than two business days after the date of the email notice. No Resale Or Other Use of Sales Leads. The Sales Lead information provided to you is PROPRIETARY AND CONFIDENTIAL. You shall not resell or otherwise transfer any Sales Leads to any third party, and you shall not use, publish, email, or otherwise disclose the Sales Lead information for any purpose other than the services or products that you offer for sale as listed in your Order. Any un-permitted use of Sales Leads constitutes a violation of the confidentiality restrictions stated below, and a violation of the Customer's privacy rights. Unfair Competition Restriction. Using the Website, you shall not submit a request for a Sales Lead in any category of services or products that you offer for sale as listed in your Order. Relationship. Under no circumstances shall you state or imply that you are acting on our behalf, no that we approve or endorse your products or services. Under no circumstances shall you and FreeWebDesignQuote.net be deemed as partners or joint venturers of each other, nor does any employment relationship exist. Neither you nor we are authorized to enter into any contract or commitments on behalf of the other, and neither you nor we shall have the right to control or direct the activities of the other. You may use the FreeWebDesignQuote.net name, logo and other trade indicia only to identify to the Customer that we are the source of the Sales Lead to which you are responding, but for no other purpose. Credit Card Charges. By submitting your Order, you authorize all fees described below to be charged to your credit card. You hereby represent that you have the power and authority to authorize us to make such charges, and to permit us to pre-authorize such charges with the credit card company of the bank. You must provide us with accurate and complete billing and credit information, shall notify us by no later than three calendar days of any change to such information. If a charge is disapproved by the financial institution, we will notify you via email, and you must immediately cure the disapproval. If the disapproval is not cured within seven days after our notice, we reserve the right to charge an administrative fee in the amount of $50 and to pursue any other available remedy. You are solely responsible for any charges or expenses imposed against you by the financial institution (e.g. for overdrawn accounts, exceeding credit card limits, etc.) resulting from charges billed by us. Startup Fee. You will pay a startup fee of $99, which will be charged to your credit card in the beginning of the program. The $99 will not be charged if you or we cancel this contract within 30 days after the date you submitted your Order; however, you will still be responsible and charged for all leads we send to you prior to such cancellation. Lead Generation Fees. You will pay the appropriate lead generation fee for each Sales Lead emailed. Lead generation fees for the calendar month will be charged to your credit card within approximately 10 days from the end of the month in which the Sales Leads were emailed to you. FreeWebDesignQuote.net reserves the right to charge new or high volume vendors more frequently throughout the month including pre-payment of the first lead for new vendors. Monthly statements will be mailed or e-mailed to you for all charges that will be placed on your account. Payment is due at the time we charge your credit card. You must notify us immediately if you have any questions or objections regarding charges to your credit card. Change in Fees. We reserve the right to change, add and otherwise adjust fees charged for our services. More specifically but without limitation (a) we reserve the right to change the amount of the lead generations fee at any time, subject to emailed notice to you at least 30 days prior to the effective date of the change; and (2) we reserve the right to charge annual maintenance fees, provided that no annual fees will be charged to you sooner than one year after the date of the initial submission of your Order. If you disagree with any changes regarding fees, your sole and exclusive remedy is to cancel this contract as permitted above. Credits Back to You. There may be unusual circumstances when you are charged a lead generation fee, but the lead is not valid. For example, the referred Sales Lead may be for a product or service not specified in your Order, the email may be sent to you more than two business days after the Sales Lead is submitted to us, or the Sales Lead is submitted by your competitor. Any credits to be provided to you under such circumstances will be subject to our sole discretion, and our decision will be binding. Requests for credits may ONLY be sent via email at info@freewebdesignquote.net . Without limiting the foregoing statement, no credits will be issued if (1) you have a past due balance, (2) if you fail to provide notice of your objection to the charge within five calendar days after your receipt of the subject Sales Lead, or (3) if your notice fails to adequately and accurately describe the reason you believe the Sales Lead is not valid. We will provide you, via email, notice of our decision within two weeks of your request. We reserve the right to contact Customers and otherwise investigate requests for credits. All credits will be issued against our charges on your next month's billing. Defaults in Payment. If you default in any payment, we will have the right to suspend all leads and other services, in addition to all other remedies available under the law. Additionally you will be responsible to pay late fees on the unpaid balance commencing on the due date at the rate of 1.0% per month (12% per annum), or at the applicable legal rate, which is lower. In the event legal proceedings are implemented, the prevailing party shall be entitled to receive reasonable attorney's fees and costs. Term. Subject to earlier cancellation, the term of this contract is one year from the date of your initial submission of the Order and will automatically renew on the annual anniversary date thereof. Cancellation will be initiated by email notice to the other party. Within three business days thereafter, we will close your account, charge your credit card for any outstanding amounts, and send you a final statement. Any requests for credits (as described above) must be submitted to us within one business day after the notice of cancellation has been delivered. Your Representations. You hereby represent to us that (1) all information you provide to us is true, current, complete and not misleading; (2) you have any and all professional, trade and other licenses required by applicable law to provide the products and services listed in your Order; (3) you have the degree of skill, experience, education and other resources reasonably necessary to provide such products and services; (4) you own or have the right to use all trademarks, trade names, logos and other trade indicia in the manner intended to be used under this contract; and (5) in providing the products and services offered under the FreeWebDesignQuote.net program, you will comply with all applicable laws, regulations and rules, and you will comply with the highest ethical standards applicable to your profession, trade or industry. You hereby agree to indemnify, defend and hold us harmless from and against any and all claims, damages, expenses, attorney's fees, and other losses that may arise relating in any way to the inaccuracy of any of the foregoing representations. Responsibility for Products and Services. You are solely responsible for the products and services you offer and provide. You hereby agree to indemnify, defend and hold us harmless from and against any and all claims, damages, expenses, attorney's fees, and other losses that may arise relating in any way to your products and/or services, including without limitation your acts and omissions relating thereto. Disclaimer of Warranties. OUR SERVICES AND THE WEBSITE ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. WE MAKE NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, AS TO OUR SERVICES, THE OPERATION OF THE WEBSITE, OR THE INFORMATION, CONTENT OR MATERIALS INCLUDED ON THE WEBSITE. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS AND IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. Without limiting the foregoing, we make no representation as to the number or quality of leads, or the amount of money that you will receive as a result of your participation in the FreeWebDesignQuote.net program. Conduit Services. We act only as a conduit. Other than our services to connect you and the Customer, we do not participate in any transactions between you and any Customer. We do not pre-screen Customers and we make no representations about the authenticity of any Customers or Sales Leads. If you have a dispute with any Customer for any reason, you hereby release and hold us harmless from any claims, damages, expenses, attorney's fees, and other losses that may arise relating in any way to such dispute. Limitation of Liability. EXCEPT AS TO THE INDEMNIFICATION OBLIGATIONS EXPRESSLY OF THIS CONTRACT, NEITHER YOU NOR WE SHALL BE LIABLE TO THE OTHER FOR ANY CONSEQUENTIAL, INCIDENTAL, INDIRECT OR SPECIAL DAMAGES ARISING OUT OF OR IN CONNECTION WITH THE WEBSITE, THIS CONTRACT OR OUR SERVICES, WHETHER UNDER THEORIES OF CONTRACT, TORT OR OTHERWISE, AND REGARDLESS WHETHER EITHER OF US HAD KNOWLEDGE THAT SUCH DAMAGES MAY OCCUR. WITHOUT LIMITING ANY OTHER PROVISION OF THIS CONTRACT, IN NO EVENT WILL OUR LIABILITY TO YOU EXCEED THE TOTAL FEES ACTUALLY PAID BY YOU TO US UNDER THIS CONTRACT. Prohibited Activity. You shall not submit, post or otherwise publish information or other content that is illegal, obscene, threatening, defamatory, invasive of privacy, infringing of intellectual property rights, or otherwise objectionable or injurious to third parties. You shall not use the Website for any purpose related to software viruses, political campaigning, commercial solicitation, chain letters, mass mailings, or any form of spam. You shall not use a false email address, impersonate any person or entity, or otherwise mislead as to your identity, the origin of a credit card, or other content. You represent and warrant that you own all of the rights to the content that you submit; that the content does not violate the copyrights or other rights of any third party; that the content will not cause injury to any person or entity; and that you will indemnify and defend us for all claims, damages, expenses, attorneys fees, and other losses that may arise relating in any way to content you supply. We do not regularly or proactively review posted or submitted content. We have the right, but not the obligation to monitor, edit or remove any activity or content, but we shall not be responsible to do so and shall not be liable for not doing so. The Website. No part of the Website may be reproduced, duplicated, copied, downloaded, sold or otherwise exploited for any purpose without our express written consent. No data mining, robots, or similar data gathering and extraction tools shall be used on the Website. Copyrights and Trademarks. All graphics, text, designs and other content provided on the Website are owned by or licensed to us, and are protected by United States and international copyright laws. The content may not be reproduced, transmitted or distributed without our prior written consent. All trademarks, service marks, trade names, logos and graphics identifying us and our services (the "Marks") are owned by or licensed to us in the United States. The Marks shall not be used without our prior written consent. You shall not use any meta-tags, keyword buys or any other "hidden text" utilizing the Marks without our express written consent. Confidential Information. You and we each agree to use the other's Confidential Information only to further the direct purposes of this contract and not otherwise. Additionally, you and we each agree to maintain the secrecy of the other's Confidential Information and shall not in any way disclose or transfer such information for a period of three years after the end of date of this contract. Confidential Information includes the content of any Sales Leads, customer information, quotes and proposals, and other trade secrets and confidential information not generally known to the public, whether in paper, electronic, verbal or other format. However, either party may at any time make any disclosures required by law after prior written notice to the other party. General Provisions. This contract (a) embodies the entire understanding between us pertaining to the subject matter hereof; (b) shall inure to the benefit of and be binding upon us and our successors and permitted assigns; (c) cannot be waived by failure to enforce any provision hereof, except in writing; (e) shall be construed according to the laws of the state of California, USA, without giving effect to its conflict of laws provisions and (d) shall be construed as severable, so the invalidity or unenforceability of any provision shall not affect the validity or enforceability of any other provisions of this contract. Any legal proceeding filed regarding the breach, termination or interpretation of this contract, or in any other way relating to this contract shall be subject to the exclusive jurisdiction of the federal and state courts located in San Diego, County, California, USA. You hereby consent to personal jurisdiction in San Diego for this limited purpose.
